BYLAWS OF MARYVILLE HIGH MUSIC BOOSTERS, INC.


ARTICLE I

NAME AND ORGANIZATIONAL STATUS

The name of this organization shall be Maryville High Music Boosters, Inc. The organization is incorporated, effective 1 July 1992, as a public benefit corporation under the Tennessee Nonprofit Corporation Act. The organization shall be governed first by said Act and by he organization's Charter, and no bylaw shall be adopted or shall be valid which inconsistent with or in violation of said Act or Charter.


ARTICLE II

PURPOSES AND ASSETS

Section 1.    The purposes of the organization, the use and disposition of its assets, and the procedures for dissolution shall be as stated in the Charter.

Section 2.    The organization shall not engage or become involved in any political campaign on behalf of any candidate for public office.


ARTICLE III

MEMBERSHIP

Section 1.    Membership in this organization shall be open to any parent or legal guardian of any child enrolled in Maryville High School Band during the school year. Any other interested person may become a member of the organization with the approval of the Executive Board.

Section 2.    The band director shall be an ex officio member and shall act as an adviser to the organization, but he/she shall not be entitled to vote or hold office.


ARTICLE IV

MEETINGS OF THE ORGANIZATION

Section 1.    The annual meeting of the organization shall be held on the second Monday in May, or on such other date in April or May as may be determined by the Executive Board. Notice of the annual meeting, with the report of the nomination committee, shall be mailed to all members not less than ten days prior to the date of the meting. At the annual meeting the president and the treasurer shall report on the activities and financial condition of the organization.

Section 2.    General meetings of the membership shall be held on the Monday of Prep Week and on the second Monday of October and February. Notice of such meeting shall be given in writing or by telephone not less than five days prior to the date of the meeting.

Section 3.    A special meeting of the organization may be held at any other time upon call of the president, upon the request of the Executive Board, or upon the written request of ten members. Notice of any special meting, with a description of the matter(s) for which the meeting is called, shall be mailed to all members not less than ten days prior to the date of the meeting.

Section 4.    The dates of the annual and all regular meetings shall be placed on the yearly school calendar, and an announcement of each meeting shall be made by the band director to the band members on the day of the meeting. The secretary shall notify the local newspapers of the meetings.

Section 5.    A quorum shall consist of 25 members.

Section 6.    All meetings of the membership shall be held in the Music Building of Maryville High School, unless the Executive Board shall decide otherwise for a particular meeting.


ARTICLE V

OFFICERS

Section 1.    The organization shall have the following officers: president, vice president, secretary and treasurer. These officers shall be elected annually at the annual meeting.

Section 2.    The term of all officers, whether serving a full or partial term, shall expire upon the election of officers at the next annual meeting.

Section 3.    A vacant office shall be filled by the Executive Board at its next regular meeting.


ARTICLE VI

DUTIES OF OFFICERS

Section 1.    The president shall preside at all meetings of the organization, shall exercise general supervision over the affairs of the organization, shall appoint the chairperson of each committee, shall be an ex officio member of all committees, and shall perform all duties incident to the office. The president may appoint a vice chairperson, but not a co-chairperson, of any committee.

Section 2.    The vice president shall, in the absence of the president, preside at meetings and perform all duties of the president. He/she shall be chairperson of the Ways and Means Committee.

Section 3.    The secretary shall keep the minutes of all meetings of the membership and of the Executive Board and keep a permanent record of the same, shall keep such books as may be desired for permanent records of the organization, and shall give notice of all meetings.

Section 4.    The treasurer shall have custody of the funds of the organization's projects and programs, with the exclusion of the funds raised from concessions; shall receive, disburse, and maintain such funds as may be ordered by action of the membership and/or the Executive Board; shall endorse on behalf of the organization any checks, notes or other negotiable paper and shall deposit the same in such financial institution(s) as may be designated by the Executive Board; shall make and render a statement of accounts and other statements as may be required and report such at meetings of the membership; shall keep books of the organization and full and accurate accounts of all monies received and disbursed by the organization; and shall be a member of the Ways and Means Committee. The treasurer is limited to signing checks up to and including the amount of $500.00; any check in excess of $500.00 must be signed by both the president and the treasurer.


ARTICLE VII

EXECUTIVE BOARD

Section 1.    The Executive Board shall consist of the officers, the chairpersons of all committees, and the immediate past president. A quorum shall be five members of the board. The band director shall attend the meetings of the board, having voice but not vote.

Section 2.    The Executive Board shall meet on the second Monday of July, August, September, October, November, December, February, April, and May. A special meeting may be called at any time by the president upon two days notice, in writing or by telephone, to each member of the board. Board meetings shall be open to the general membership. All meetings shall be held in the Music Building of Maryville High School, unless the Executive Board shall decide otherwise for a particular meeting.

Section 3.    The Executive Board shall have general administrative supervision of the organization. It shall have authority to act and make decisions on all matters referred to it by the membership and on sudden or emergency matters when it is impractical to convene a special meeting of the membership. All decisions made by the Executive Board shall be subject to review by the membership. The Executive Board shall not make any decision which involves the expenditure of more than $500.00.


ARTICLE VIII

COMMITTEES

Section 1.    The organization shall have the following standing committees:

(a)    Ways and Means.  This committee shall supervise fund raising projects and activities required to support band projects and trips.
(b)    Transportation.  This committee shall assist the band directors in transportation matters, particularly in providing parent chaperones for band trips.
(c)    Concessions.  This committee shall supervise the operation of concession stands, including the scheduling of members to operate them.
(d)    Special Projects.  This committee shall plan and coordinate the annual band banquet and shall organize and supervise such special projects as may be assigned to it.
(e)    Telephone.  This committee shall provide an organized registry of both the membership and band members and when requested shall provide communication with the membership or band members.

Section 2.    Each chairperson shall appoint the members of his/her committee.

Section 3.    The organization shall have a nominating committee consisting of five members. The chairperson and two members of the committee shall be elected by the membership at its February meeting. The other two members of the committee shall be the president and the band director. The nominating committee shall nominate members for election as officers at the annual meeting. The nominating committee must obtain the consent of each nominee.


ARTICLE IX

FINANCIAL MATTERS

Section 1.    The fiscal year of the organization shall be July 1 to June 30.

Section 2.    The treasurer shall be bonded in an amount determined by the Executive Board with a surety bond issued by an insurance company. The premium for the bond shall be paid by the organization.

Section 3.    At the first membership meeting of the fiscal year the band director will present to the organization an outline of the band's financial priorities which necessitate financial assistance from the organization.

Section 4.    Any program or project undertaken by the organization to raise funds for the band or any band function shall be presented to the membership for approval. Any such fund raising program or project approved by the membership shall be subject to final approval by the Maryville City School Board. No member shall promote or sell any product in the name of the organization unless it has been approved by the membership and the school board.

Section 5.    Monies earned by students in fund raising projects shall be kept by the treasurer and recorded in individual student accounts. These funds may be used for transportation and uniform fees, band camp, band trips, band clinics, and other band activities and expenses approved by the Executive Board.

Any money remaining in an individual student's account shall transferred to the Booster account upon his/her transfer to another school, his/her non-enrollment at Maryville High School at the beginning of the school year, or his/her graduation from Maryville High School. Money in one student's account shall not be transferable to another student's account.    [Amended 1997-98]

Section 6.    Monies received from concession sales belong to the school system and are handled through the school accounting system. The organization has no responsibilities regarding these funds.


ARTICLE X

PARLIAMENTARY PROCEDURE

The most recent edition of Roberts Rules of Order shall govern the proceedings of all meetings of this organization, except when in conflict with these bylaws.


ARTICLE XI

AMENDMENTS

Amendments to these bylaws may be made at any meeting of the membership by an affirmative vote of a majority of the members present and voting. Each member shall be given written notification of any proposed amendment at least ten days prior to the date of the meeting.
